7. Payment Terms

7.1 Fees

Certain Services, such as coaching sessions or wellness programs, require payment of fees, which will be disclosed at the time of booking or registration. All fees are in Canadian dollars (CAD) unless otherwise stated and are exclusive of applicable taxes, which will be added as required by law.

  • You are authorized to use the payment method.
  • The information provided is accurate and complete.

Payments are processed through secure third-party payment processors, and we do not store your full payment details on our servers.

7.3 Billing

You agree to pay all fees associated with the Services you purchase. We will charge your payment method at the time of booking or as agreed for recurring services (e.g., subscription-based programs). If a payment fails, we may suspend your access to the Services until payment is received.

7.4 Refund Policy

Refunds are handled on a case-by-case basis, subject to the following guidelines:

  • Review the description, pricing, and terms of the Service before completing your purchase.
  • Provide accurate billing and contact information.
  • Acknowledge that access to Services is contingent on successful payment.

10. Termination

10.1 By You

You may stop using our Services at any time by discontinuing access to our website or canceling your account. To cancel your account, contact support@mensmentalhealthinstitute.com.

We may suspend or terminate your access to the Services, in whole or in part, at our sole discretion, with or without notice, if:

  • You violate these Terms or engage in prohibited conduct.
  • We suspect fraudulent, abusive, or illegal activity.
  • We are required to do so by law or to protect the rights, property, or safety of MMHI, our users, or others.
  • We discontinue the Services or any part thereof.

Upon termination, your right to access the Services will cease, and any outstanding fees remain payable. Provisions of these Terms that by their nature should survive termination (e.g., intellectual property, liability, governing law) will continue to apply.

11. Limitation of Liability

To the fullest extent permitted by law, MMHI, its affiliates, officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or the Services will not exceed the amount you paid for the Services in the 12 months preceding the claim. Some jurisdictions do not allow limitations of liability, so these restrictions may not apply to you.

12. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. MMHI does not warrant that:

  • The Services will be uninterrupted, error-free, or secure.
  • The Content or results of the Services will meet your expectations or requirements.
  • Any defects or errors will be corrected.

You use the Services at your own risk. We are not responsible for any harm or loss resulting from your reliance on the Services or Content.

13. Indemnification

You agree to indemnify, defend, and hold harmless MMHI, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your infringement of any third-party rights, including intellectual property or privacy rights.
  • Your User Content or actions that harm MMHI or others.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services will be resolved exclusively in the courts of Ontario, Canada, and you consent to the jurisdiction and venue of such courts.

Before initiating legal action, you agree to attempt to resolve disputes informally by contacting us at support@mensmentalhealthinstitute.com. We will respond within 30 days and work to reach a mutually acceptable resolution.

15. Changes to These Terms

We may update these Terms at any time to reflect changes in our Services, legal requirements, or operational practices. When we make changes, we will update the “Effective Date” at the top of the Terms and post the revised version on our website. For significant changes, we may notify you via email or a notice on our website.

Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Services.

16. Force Majeure

MMHI will not be liable for any delay or failure to perform its obligations under these Terms due to events beyond our reasonable control, including natural disasters, pandemics, strikes, cyberattacks, or government actions.

17. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with MMHI (e.g., service contracts), constitute the entire agreement between you and MMHI regarding the Services. They supersede any prior agreements, representations, or understandings, whether written or oral.

18. Waiver and Severability

No waiver of any provision of these Terms will be effective unless in writing and signed by MMHI. If any provision is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be replaced with a valid one that reflects the original intent.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. MMHI may assign or transfer these Terms or any rights hereunder, in whole or in part, without your consent, such as in connection with a merger or sale of assets.
